Terms of Service

These Terms of Service ("Terms") govern your use of the CueScribe iOS app ("CueScribe", "the app"). By downloading or using CueScribe, you agree to these Terms. If you don't agree, don't use the app.

CueScribe is published at cuescribe.net. References to "we", "us", and "our" mean the publisher listed on the CueScribe App Store page.

TL;DR

1. Who can use CueScribe

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use CueScribe. If you're under the age of majority where you live, you confirm your parent or legal guardian has reviewed and accepted these Terms on your behalf.

2. License

Subject to these Terms and Apple's standard Licensed Application End User License Agreement ("Apple EULA"), we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and run CueScribe on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.

The Apple EULA continues to apply in full alongside these Terms. To the extent of any conflict, the Apple EULA controls for those topics it specifically addresses.

3. Your content and your responsibilities

CueScribe records, imports, and transcribes audio that you provide. You retain all rights to your recordings, transcripts, and any associated content ("Your Content"). We claim no ownership over Your Content and we don't receive copies of it - processing happens on your device, as described in our Privacy Policy.

You're solely responsible for Your Content and for your use of the app. In particular:

You agree to indemnify and hold us harmless from any claim, loss, or expense arising out of Your Content or your use of the app in breach of these Terms.

4. Subscriptions and payments

CueScribe offers a paid tier ("CueScribe Plus") with three purchase options: monthly, annual, and lifetime. Some features - new recordings, imports, and re-transcription - require CueScribe Plus. Existing transcripts and recordings remain accessible regardless of subscription status.

4.1 Apple handles the transaction

Apple is the merchant of record for all CueScribe Plus purchases. Your purchase is a transaction between you and Apple, governed by Apple's App Store Terms of Service and your iTunes / App Store account. We never see your name, billing address, payment card, or full Apple ID - only an entitlement signal indicating that you have an active subscription.

4.2 Free trial

The monthly and annual plans include a 3-day free trial for first-time subscribers. If you don't cancel before the trial ends, the plan automatically converts to a paid subscription at the published price. The lifetime plan does not include a trial.

4.3 Auto-renewal

Monthly and annual subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the period ends. Apple charges your Apple ID account for renewal within 24 hours before the period ends, at the then-current price for the plan. You can:

Canceling stops the next renewal. Access continues until the end of the current paid period.

4.4 Lifetime purchase

The lifetime option is a one-time, non-consumable in-app purchase. It grants access to CueScribe Plus features on Apple IDs that purchased it, for as long as CueScribe remains available on the App Store and runs on supported iOS versions. It does not guarantee perpetual availability of the app - we describe what may end access in Section 8.

4.5 Refunds

Refunds for App Store purchases are handled by Apple under Apple's refund policy. Request a refund via reportaproblem.apple.com or your Apple ID account. We can't issue refunds directly because we don't receive your payment.

4.6 Price changes

If we change the price of a recurring subscription, Apple will notify you and ask you to confirm the new price before charging it. If you don't confirm, your subscription doesn't renew at the new price.

5. Accuracy and limitations of transcription

CueScribe uses on-device speech recognition and speaker diarization. These technologies are imperfect and produce errors, especially with:

Transcripts produced by CueScribe are not verbatim certified transcripts. Speaker labels are best-effort clusters, not identifications - CueScribe never identifies who a voice belongs to until you assign a name. Always review and edit transcripts before relying on them for any consequential use.

6. Intellectual property

CueScribe, including its software, design, branding, marketing copy, and documentation, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual-property laws. Nothing in these Terms transfers any of those rights to you, except the limited license granted in Section 2.

"CueScribe" and the CueScribe logo are our trademarks. You may not use them without our prior written permission, except as required to truthfully describe the app (for example, in a review or news article).

Third-party components included in CueScribe are licensed under their own terms; attribution is available in the app where required.

7. Disclaimers and limitation of liability

7.1 "As is"

To the maximum extent permitted by law, CueScribe is provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise - including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We don't warrant that the app will be uninterrupted, error-free, secure, or that any defects will be corrected.

7.2 Not for high-stakes use

You agree not to use CueScribe for any application where the failure or inaccuracy of the app could lead to death, personal injury, financial loss, or other significant harm. If you use CueScribe in any such application, you do so at your sole risk.

7.3 Limitation of liability

To the maximum extent permitted by law, in no event will we, our affiliates, or our licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) CueScribe - even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or relating to these Terms or your use of CueScribe will not exceed the greater of (a) the amount you paid us for the app in the twelve months before the event giving rise to the liability, or (b) US $50.

Some jurisdictions don't allow the exclusion or limitation of certain warranties or damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.

8. Term and termination

These Terms apply from the moment you install CueScribe and continue until terminated.

You may stop using CueScribe at any time by uninstalling it. Uninstalling removes all on-device CueScribe data (recordings, transcripts, settings); transcripts previously synced via your private iCloud container remain there until you delete them - see the Privacy Policy for how.

We may suspend or end your access to the app or to any feature, with or without notice, if:

If we discontinue the app entirely, we'll try to give reasonable notice to active subscribers and to provide a path to export Your Content. Sections that by their nature should survive (1, 3, 6, 7, 9, 10, 11) will survive termination.

9. Changes to the app and to these Terms

We may update, add, or remove features at any time. When a change materially affects paying users, we'll try to surface a notice in the app or via the App Store release notes.

We may also revise these Terms. The revised Terms take effect when posted at the URL where you found them. If a change materially affects your rights, we'll surface a notice in the app. Your continued use of CueScribe after the change means you accept the revised Terms. If you don't accept them, stop using the app.

10. Apple-specific terms

The following terms apply because CueScribe is distributed through Apple's App Store. They are required by Apple's developer agreements and they are in addition to, not in place of, the rest of these Terms.

11. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which we are established, without regard to its conflict-of-laws principles. Mandatory consumer-protection rights in your country of residence are not affected by this choice.

Disputes arising out of or relating to these Terms or CueScribe will be resolved in the courts of that jurisdiction, except where applicable law requires otherwise (for example, consumer-protection statutes that allow you to bring proceedings in your country of residence).
